Terms & Conditions

The terms we work under.

These terms apply to every proposal, invoice and engagement with Zeravon Ltd. Read them before you pay — approving a proposal or paying an invoice means you accept them. Nothing here is designed to surprise you later.

01

Who we are

Zeravon Ltd is a private limited company registered in England and Wales under company number 16649870, incorporated on 14 August 2025. Our registered office is 128 City Road, London, EC1V 2NX, United Kingdom. The studio previously traded as Rebel Minds Creative; that brand and its former domain are retired, and all work now runs through Zeravon Ltd.

Zeravon Ltd is not currently registered for UK VAT, so no VAT is charged on our invoices and none is recoverable by you.

02

What we agree to do

Every engagement begins with a written proposal naming the deliverables, the milestones, the price and the timeline. That proposal, together with these terms, is the whole agreement. Work described in a call but absent from the proposal is not in scope.

We will tell you before we start if we believe the brief cannot be delivered for the budget available. We would rather decline an engagement than take one we expect to disappoint you.

03

Quotes and pricing

We do not publish a price list: what an engagement costs depends on its scope, and how we price is set out on the services page. The price in your written proposal is fixed for the scope it describes, and its validity period is stated on the proposal itself.

Scope changes are quoted separately, in writing, before any additional work begins. We do not issue surprise invoices.

04

Payment and milestones

  • Work is divided into milestones, each with a named deliverable and a price agreed in advance.
  • The first milestone is invoiced before work begins; each later milestone is invoiced as it is reached.
  • Invoices are payable by the date stated on the invoice.
  • We accept Visa, Mastercard, American Express, Debit cards, Bank transfer (GBP, USD, EUR). Card payments are handled by our payment provider — we never see or store your full card number.
  • All prices are in US dollars. Charges or conversion costs applied by your own bank are yours to carry.
  • Overdue payment may pause delivery, and we may charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998 on overdue business invoices.
05

What we need from you

Projects stall for one reason more than any other: waiting on content, access or approvals. You agree to provide copy, assets, logins and feedback within a reasonable time, and to name one person with authority to approve work.

If an engagement stalls on your side for an extended period, we may invoice the work completed to that point and release your slot in the studio calendar. Restarting later is possible, subject to availability.

06

Revisions

The number of revision rounds included is set out in your proposal and varies with the engagement. Changes that alter an approved direction, or fall outside the agreed scope, are quoted as additional work before they are started.

07

Intellectual property

  • On full payment, ownership of the final deliverables created specifically for you transfers to you.
  • Until full payment is received, we retain ownership of all work in progress and of delivered files.
  • We keep ownership of our own pre-existing tools, libraries and internal frameworks; you receive a perpetual licence to use them as embedded in your deliverables.
  • Third-party assets — fonts, stock imagery, plugins, hosting and API services — are licensed in your name and either billed to you at cost or paid by you directly.
  • Unless you ask us in writing not to, we may show the work in our portfolio and credit it as ours.
08

Confidentiality

We treat your commercial information, credentials and unpublished plans as confidential, and we will sign your NDA on request. We expect the same discretion over our proposals, pricing structure and methods.

09

Third-party platforms and AI services

Some deliverables run on platforms we do not control — hosting providers, CRMs, ad networks, search engines, and AI providers such as OpenAI and Anthropic. Where a build depends on a third-party API, its availability, pricing and policies are set by that provider and we cannot guarantee uptime or output on their behalf. We will always tell you which dependencies a build carries before committing to it.

10

Results and warranties

We warrant that the work will be performed with reasonable skill and care, and that deliverables will match the scope set out in your proposal. If a delivered item does not match that scope, tell us and we will put it right.

We do not warrant specific commercial outcomes — rankings, AI-search citations, traffic volumes, conversion rates or revenue. Search engines, AI answer engines and ad platforms are controlled by third parties and change without notice. Any figures discussed in a proposal are illustrative, not promises.

11

Liability

Our total liability for any claim arising from an engagement is limited to the total fees you have paid us for that engagement. We are not liable for indirect or consequential losses, lost profits, lost data, or losses caused by third-party platforms. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

12

Cancellation, refunds and termination

Either side may end an engagement in writing. Cancellation and refund rights — including the statutory 14-day right of withdrawal that applies if you are buying as a consumer rather than a business — are set out in full in our Refund & Cancellation Policy, which forms part of these terms.

13

Complaints

If something is wrong, email contact@zeravonltd.com with the detail and we will work with you to resolve it. We would far rather fix a problem directly than have you raise a card dispute — but nothing in this clause affects your rights with your bank or card issuer.

14

Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If any clause is found unenforceable, the rest remain in force.
